Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you", "your", or "Subscriber") and VG-Real Estate Services Inc. ("VG Real Estate", "we", "us", or "our"), a corporation registered in Canada with its registered office in Toronto, Ontario. They govern your access to and use of the VG Real Estate CRM platform, the public marketing website at vg-realestate.ca, and all related features, APIs, and integrations (together, the "Service").

Please read these Terms carefully. By creating an account, signing in, or using the Service, you agree to be bound by them and by our Privacy Policy, Acceptable Use Policy, Refund Policy, and Cookie Policy, each of which is incorporated by reference.

1. Eligibility and Acceptance

You may use the Service only if you are at least 18 years old and have the legal capacity to enter into this agreement. If you are using the Service on behalf of a brokerage, team, or organization, you represent that you have authority to bind that entity, in which case "you" refers to that entity.

The CRM is intended for use by licensed Canadian real estate professionals, their staff, and authorized assistants. Consumers may use the public website to browse listings, submit inquiries, and read marketing content without creating an account.

2. Description of the Service

VG Real Estate provides a cloud-based customer relationship management platform for Canadian real estate professionals, including modules for client management, property listings, deal pipelines, calendar scheduling, email, contract generation and annotation (OREA forms), MLS search via TRREB/AMPRE, mapping, and billing.

Features may be added, modified, or removed at our reasonable discretion. We will provide advance notice of material, adverse changes to features included in your paid plan.

3. Account Registration and Security

You must provide accurate, current, and complete information when registering and keep it up to date. You are responsible for maintaining the confidentiality of your credentials, enabling two-factor authentication when available, and for all activity under your account. Notify us at support@vg-realestate.ca immediately if you suspect unauthorized access.

One natural person per user account. Sharing logins is prohibited. Each agent on a team must have a separate seat.

4. Plans, Free Trial, Billing, and Taxes

The Service is offered on Free, Starter, Pro, and Executive subscription plans, as described on our Pricing page. Paid plans are billed monthly or annually.

  • Free trial — new Starter plan subscribers receive a 7-day free trial. No charge is made during the trial. If you do not cancel before the trial ends, your subscription converts to a paid plan and is charged at the advertised rate.
  • Billing processor — all payments are processed by Stripe, Inc. By submitting payment information you authorize us (via Stripe) to charge your selected payment method for the applicable fees.
  • Auto-renewal — subscriptions renew automatically at the end of each billing cycle unless cancelled before renewal through the billing portal.
  • Cancellation — you may cancel at any time; cancellation takes effect at the end of the current billing period. You retain access until that period ends.
  • Taxes — all fees are stated in Canadian dollars (CAD) exclusive of tax. Applicable sales taxes (13% HST for Ontario customers, or the equivalent provincial rate) are calculated and collected by Stripe Tax at checkout.
  • Price changes — we may modify plan pricing with at least 30 days' written notice. New pricing applies to your next renewal.
  • Refunds — refund eligibility is governed by our Refund Policy.
  • Failed payments — if a payment fails, we may suspend access after a 7-day grace period. Accounts 30 days past due may be downgraded to the Free plan.

5. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy. Without limiting that policy, you agree not to:

  • Use the Service in violation of any applicable law, including PIPEDA, CASL, the Ontario Real Estate and Business Brokers Act (REBBA), RECO rules, FINTRAC obligations, or Competition Act.
  • Send unsolicited commercial messages (spam) in violation of CASL.
  • Reverse engineer, decompile, or attempt to derive source code, except to the extent permitted by applicable law.
  • Resell, sublicense, white-label, or otherwise commercialize the Service without our prior written consent.
  • Circumvent plan limits, authentication, rate limits, or security controls.
  • Upload malware, infringing content, or data you do not have the right to process.
  • Use MLS data obtained through the Service in any manner that violates TRREB's data licence or RESO IDX/DLA rules (including scraping, bulk export, or redistribution).
  • Interfere with or disrupt the Service, or attempt to gain unauthorized access to other users' data.

We may investigate suspected violations, suspend offending accounts, and cooperate with law enforcement.

6. Your Data and Content

You retain all right, title, and interest in the data and content you upload, create, or store in the Service ("Your Data"), including client records, listings, documents, images, and contracts. You grant VG Real Estate a worldwide, royalty-free, non-exclusive licence to host, store, transmit, back up, display, and process Your Data solely to provide, secure, and improve the Service for you.

You represent and warrant that you have all necessary rights and consents to upload Your Data, including consent from clients to store their personal information under PIPEDA. You are solely responsible for the accuracy, legality, and quality of Your Data.

On request, we will export Your Data in a portable format (CSV/JSON). After account deletion, Your Data is permanently deleted within 30 days, subject to retention required by law (see Privacy Policy §7).

7. MLS Data (TRREB / AMPRE)

MLS listing data displayed in the Service is licensed from the Toronto Regional Real Estate Board (TRREB) via the AMPRE RESO Web API and is provided on an "as is, as available" basis. MLS data is the property of the originating board or its members and is subject to TRREB's data display terms. Listing information may be delayed or withdrawn without notice. You may not scrape, bulk-export, or redistribute MLS data outside the permitted uses of your IDX/DLA feed.

8. AI Features

The Service includes optional AI-powered features (VG Assistant, email drafting, contract generation, summarization). AI output is generated by Anthropic Claude models and may contain errors or hallucinated content. You are solely responsible for reviewing, editing, and verifying AI output before using it in any client communication, contract, or filing. AI output does not constitute legal, financial, or professional advice.

9. Intellectual Property

The Service, including all software, design, trademarks, logos, text, and imagery (excluding Your Data and MLS data), is owned by VG-Real Estate Services Inc. or its licensors and is protected by Canadian and international copyright, trademark, and other laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service in accordance with your subscription. All rights not expressly granted are reserved.

"VG Real Estate", the VG logo, and related marks are trademarks of VG-Real Estate Services Inc. You may not use them without our prior written permission.

10. Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use, modify, and incorporate that feedback without obligation to you.

11. Service Availability

We use commercially reasonable efforts to keep the Service available and performant. However, the Service is provided on an "as available" basis and we do not guarantee uninterrupted or error-free operation. Scheduled maintenance will be announced in advance where feasible. Unplanned downtime may occur due to failures of upstream providers (hosting, database, payments) or events beyond our reasonable control.

12. Third-Party Services

The Service integrates with third-party services such as Stripe (billing), Google (OAuth, Workspace, Gmail), Anthropic (Claude AI), Cloudflare (Turnstile), Neon (database), Vercel (hosting), Geocodio (mapping), and TRREB/AMPRE (MLS data). Your use of these integrations is subject to the third party's own terms and privacy policies. We are not responsible for third-party services or their availability.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. VG REAL ESTATE IS NOT A LAW FIRM, ACCOUNTING FIRM, OR REAL ESTATE BROKERAGE; THE SERVICE DOES NOT CONSTITUTE LEGAL, TAX, OR PROFESSIONAL ADVICE. YOU ARE SOLELY RESPONSIBLE FOR YOUR COMPLIANCE WITH PROFESSIONAL AND REGULATORY OBLIGATIONS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL VG-REAL ESTATE SERVICES INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) CAD $100. Nothing in these Terms excludes liability that cannot be excluded under applicable law (including rights consumers may have under the Ontario Consumer Protection Act).

15. Indemnification

You will indemnify and hold harmless VG-Real Estate Services Inc. and its directors, officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of (a) Your Data, (b) your use of the Service in violation of these Terms, (c) your violation of any law or third-party right, including any client's privacy rights, or (d) your misuse of MLS data.

16. Suspension and Termination

You may terminate your account at any time through account settings or by emailing support@vg-realestate.ca. We may suspend or terminate your access, with or without notice, if (a) you materially breach these Terms, the Acceptable Use Policy, or any law; (b) a payment fails and is not cured within 30 days; (c) we are required to do so by law; or (d) your continued use creates material risk to the Service or other users. Upon termination, your data is handled as described in Privacy Policy §7. Sections 6, 9, 10, 13, 14, 15, 17, and 18 survive termination.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. You and VG Real Estate submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, for any dispute arising out of or related to these Terms or the Service, except that either party may seek interim injunctive relief in any court of competent jurisdiction.

18. Changes to the Terms

We may update these Terms from time to time. For material changes, we will notify you by email and post a prominent notice in the Service at least 14 days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

19. Miscellaneous

  • Entire agreement — these Terms, together with the policies incorporated by reference, constitute the entire agreement between you and VG Real Estate concerning the Service.
  • Severability — if any provision is found unenforceable, the remaining provisions remain in effect.
  • No waiver — our failure to enforce any right is not a waiver of that right.
  • Assignment — you may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure — neither party is liable for delays caused by events beyond its reasonable control.
  • Language — the parties have requested that these Terms be drawn up in English. Les parties ont exigé que la présente convention soit rédigée en anglais.
